Acceptance of terms

By accessing, browsing, or using HalSouk (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to all of these terms, you must immediately stop using the Platform. Your continued use of the Platform following any changes to these terms constitutes your binding acceptance of such changes.

Platform description and role

HalSouk is an online marketplace that connects halal businesses ("Partners") with consumers ("Buyers"). HalSouk acts solely as an intermediary platform and is NOT a party to any transaction between Partners and Buyers. HalSouk does not sell, resell, supply, manufacture, store, inspect, or handle any products listed on the Platform. HalSouk does not verify, certify, or guarantee the halal status, quality, safety, legality, or accuracy of any products, listings, or claims made by Partners. All transactions are conducted directly between Partners and Buyers, and HalSouk bears no responsibility for such transactions.

Eligibility, account registration and security

You must be at least 18 years of age (or the age of majority in your province or territory, whichever is greater) to create an account or use the Platform. HalSouk does not knowingly collect personal information from minors. You must provide accurate, complete, and current information when registering. You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. HalSouk reserves the right to suspend, disable, or terminate any account at any time, with or without cause, and without prior notice or liability.

Partner responsibilities

Partners are solely and fully responsible for: (a) the accuracy, completeness, and legality of all product listings, descriptions, images, pricing, availability, and halal claims; (b) compliance with all applicable federal, provincial, and municipal laws, regulations, and licensing requirements; (c) fulfilling orders and resolving disputes directly with Buyers; (d) collecting and remitting all applicable taxes, including HST/GST/PST; (e) obtaining all necessary permits, licences, and certifications before listing products. HalSouk has no obligation to verify any Partner's licences, certifications, claims, or compliance.

Buyer responsibilities

Buyers acknowledge that HalSouk does not verify any product claims, including halal status, ingredient lists, allergen information, or nutritional content. Buyers are solely responsible for conducting their own due diligence before purchasing any product, verifying product suitability, and resolving any disputes directly with Partners. Buyers purchase products at their own risk.

Prohibited conduct

You may not: (a) post content that is false, misleading, defamatory, harassing, threatening, obscene, or unlawful; (b) infringe on any third party's intellectual property, privacy, or other rights; (c) use the Platform for any fraudulent or illegal purpose; (d) introduce viruses, malware, or any harmful code; (e) attempt to gain unauthorized access to any part of the Platform; (f) scrape, crawl, or collect data from the Platform without authorization; (g) interfere with the proper functioning of the Platform; (h) impersonate any person or entity; (i) post fake, incentivized, or retaliatory reviews; (j) circumvent or attempt to circumvent payment for any optional paid feature.

User content and licence

You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant HalSouk a worldwide, non-exclusive, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, display, distribute, and sublicence such content in connection with operating and promoting the Platform. You represent and warrant that you own or have all necessary rights to your User Content and that it does not violate any law or infringe any third-party rights.

Reviews and ratings

Users may submit reviews and ratings for businesses and products on the Platform. By submitting a review, you represent that it reflects your genuine, first-hand experience and is truthful and not misleading. The following are prohibited: posting fake reviews, reviews in exchange for compensation, reviews of your own business or products, and retaliatory reviews. HalSouk reserves the right to remove any review that violates these rules.

Intellectual property

All content on the Platform created by HalSouk — including text, graphics, logos, icons, images, software, and design elements — is the property of HalSouk and is protected by Canadian and international intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any of HalSouk's proprietary content without express written permission.

Payments and refunds

The Platform is free to use. The only paid features are optional visibility upgrades (Boost and Bump), charged per purchase in Canadian dollars (CAD) and non-refundable except as required by applicable law. Payments are handled by our third-party payment processor (Stripe). HalSouk reserves the right to introduce other optional paid features in the future; if it does, HalSouk will provide at least thirty (30) days' advance notice — including before any currently free feature becomes paid.

Promotional offers

From time to time, HalSouk may offer promotional offers, discount codes, or free trial periods ("Promotions"). Promotions are offered at HalSouk's sole discretion, are non-transferable, have no cash value, and may be modified, suspended, or discontinued at any time without notice.

Email communications and anti-spam

By creating an account, you expressly consent to receive transactional emails necessary for the operation of your account. With your separate express consent, HalSouk may send you commercial electronic messages. You may withdraw your consent to marketing emails at any time. HalSouk complies with Canada's Anti-Spam Legislation (CASL).

Disclaimer of warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, HalSouk EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY. HalSouk DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HalSouk BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN ALL CASES, HalSouk'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO HalSouk IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY CANADIAN DOLLARS (CAD $50), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless HalSouk, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or any User Content you submit.

Third-party transactions and disputes

HalSouk is not responsible for and shall not be a party to any dispute between Partners and Buyers, including disputes regarding product quality, halal status, delivery, pricing, refunds, or any other matter. All such disputes must be resolved directly between the parties involved.

Force majeure

HalSouk shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, internet or telecommunications failures, cyberattacks, or third-party service provider outages.

Termination of individual accounts

HalSouk may suspend, restrict, or terminate your access to the Platform at any time, for any reason or no reason, with or without prior notice, and without liability. Upon termination: (a) your right to use the Platform ceases immediately; (b) if your account is terminated for a violation of these Terms, no refund will be issued for any unused portion of a paid feature, if applicable.

Platform discontinuation

HalSouk reserves the right to discontinue, suspend, or shut down the Platform at any time. In the event of a permanent platform-wide shutdown, HalSouk will provide at least thirty (30) days' advance notice and issue pro-rata refunds for any unused portion of a paid feature, if any.

Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceedings shall be brought exclusively in the courts located in Ontario, Canada.

Dispute resolution

Before initiating any legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at support@halsouk.ca. If the dispute is not resolved within thirty (30) days, either party may proceed with formal legal action.

Modifications to terms

HalSouk reserves the right to modify these Terms at any time. Updated terms will be posted on this page with a revised "Last updated" date. Your continued use of the Platform after any such modifications constitutes your acceptance of the revised Terms.

Severability and entire agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary. These Terms, together with the Privacy Policy, constitute the entire agreement between you and HalSouk regarding your use of the Platform.
